Terms of Service

1. Eligibility

To use the Service, you must:

• Be at least 18 years of age;
• Have the legal capacity to enter into a binding agreement;
• Not be prohibited from using the Service under applicable law;
• Provide accurate, current, and complete information during registration and keep your account information updated.

2. User Accounts

2.1 Account Creation

You must create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Account Security

You agree to: (a) immediately notify us of any unauthorized use of your account; (b) use a strong, unique password; and (c) not share your account credentials with others.

2.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Service

Honestkey™ provides an Honestkey™ lease analysis service that:

• Extracts and summarizes key terms from residential lease documents;
• Identifies potential issues, red flags, and unusual clauses;
• Compares lease terms against state-specific tenant protection laws;
• Generates template letters for common tenant communications;
• Provides educational information about tenant rights.

3.1 Limitations of Service

You acknowledge and agree that:

• Our analysis is informational only and should not be relied upon as legal advice;
• Honestkey™ analysis may contain errors, omissions, or inaccuracies;
• State laws change over time, and our database may not reflect the most recent changes;
• Local ordinances and regulations may provide additional protections not covered by our analysis;
• The outcome of any legal dispute depends on many factors beyond lease terms.

4. Acceptable Use

You agree NOT to:

• Upload documents you do not have the right to share;
• Use the Service for any illegal purpose;
• Attempt to gain unauthorized access to the Service or its systems;
• Interfere with or disrupt the Service or servers;
• Reverse engineer, decompile, or disassemble any aspect of the Service;
• Use automated means to access the Service without permission;
• Resell, redistribute, or sublicense the Service;
• Upload malicious code, viruses, or harmful content;
• Abuse the Service by uploading excessive documents or making excessive API calls;
• Impersonate another person or misrepresent your affiliation.

5. User Content and Lease Documents

5.1 Your Content

You retain ownership of the lease documents and other content you upload ("User Content"). By uploading User Content, you grant us a non-exclusive, royalty-free license to process, store, and analyze your content for the purposes of: (a) providing the Service to you; (b) improving and developing the Service; and (c) generating aggregated, de-identified insights and data products (such as rental market trends, common lease clause analysis, and geographic comparisons). We will not share your individual documents or personal information in identifiable form with third parties, except as described in our Privacy Policy.

5.2 Your Representations

You represent and warrant that:

• You have the right to upload and share the lease documents (e.g., you are a party to the lease or have been authorized by a party);
• Your User Content does not violate any third party's rights;
• Your User Content is accurate to the best of your knowledge.

5.3 Content Processing and Data Use

By using the Service, you consent to your lease documents being processed by Honestkey™ systems and third-party service providers (including Anthropic and OpenAI) as described in our Privacy Policy. You also acknowledge that we may extract, aggregate, and de-identify data from your User Content to create market insights, analytics, and data-driven features. Such aggregated data will not identify you or any specific property.

DMCA Notice and Takedown

Honestkey™ respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe that content available through the Service infringes your copyright, you may submit a takedown notice and we will respond in accordance with the DMCA.

How to Submit a Notice

Send a written notice to our designated agent through our contact page (which routes to a support ticket — DMCA notices are reviewed promptly). Your notice must include all of the following, as required by 17 U.S.C. § 512(c)(3):

1. A physical or electronic signature of the copyright owner or someone authorized to act on their behalf;
2. Identification of the copyrighted work claimed to have been infringed (or a representative list, if multiple works are involved);
3. Identification of the material that is claimed to be infringing, with enough detail (URL, lease identifier, or other locator) to allow us to find it;
4. Your contact information (name, mailing address, telephone number, and email address);
5. A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Counter-Notification

If your content was removed and you believe the removal was a mistake or misidentification, you may file a counter-notification through the same contact channel. Your counter-notice must include the elements required by 17 U.S.C. § 512(g)(3): your physical or electronic signature, identification of the removed material and where it appeared, a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification, your contact information, and consent to the jurisdiction of the federal district court for the judicial district where you reside (or, if outside the United States, for any judicial district in which we may be found).

Repeat Infringers

We will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances and at our sole discretion.

Misrepresentations

Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing — or that material was removed by mistake or misidentification — may be liable for damages, including costs and attorneys' fees, incurred by Honestkey™ or the alleged infringer.

6. Payments and Subscriptions

6.1 Pricing

Honestkey™ offers both one-time purchases and subscription plans. Current pricing is displayed on our Pricing page. Prices are subject to change with notice.

6.2 Payment Processing

Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

6.3 Subscription Terms

If you purchase a subscription, it will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

6.4 Taxes

Stated prices do not include applicable taxes. You are responsible for paying all taxes associated with your purchases.

7. Refund Policy

7.1 Annual Subscriptions

• 14-day money-back guarantee. If you are not satisfied with your annual subscription, request a refund within 14 days of your initial purchase for a full refund.
• After 14 days: you may cancel anytime to stop the next renewal. Cancelling does not refund the current billing period — you keep your remaining credits and full access until the end of the period.
• Renewal charges after cancellation: if a renewal payment is processed after you confirmed cancellation, contact us for a full refund of the renewal.

7.2 One-Time Scans and Rent Analyses

Your first paid scan — 7 days, no questions asked. The first time you pay for a lease scan or rent analysis, you have 7 calendar days from the purchase date to request a full refund. You do not need to explain why. See our Refund Policy for the full terms.

Failed scans — always refunded. If a scan fails to process, returns no usable results, or our system errors out before you get a report, we refund it within 30 days of purchase. Contact our support team.

Second and later paid scans (after the 7-day window has passed on your first) are final once delivered. The free preview shows you the risk score and top issues before you pay — use it. See the Refund Policy for edge cases and how to request a refund.

7.3 Processing

Refunds are processed to the original payment method and typically appear within 5–10 business days, depending on your bank.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, functionality, text, graphics, logos, and software, is owned by Duvoire LLC and protected by copyright, trademark, and other intellectual property laws. "Honestkey™" and the Honestkey™ logo are trademarks of Duvoire LLC.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

You agree to indemnify, defend, and hold harmless Duvoire LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your User Content.

12. Termination

12.1 Termination by You

You may terminate your account at any time by deleting your account through your settings or by contacting us.

12.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms or suspected fraudulent or illegal activity.

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content. Sections that by their nature should survive termination shall survive, including user content and data licenses (Section 5), intellectual property, disclaimers, limitation of liability, and indemnification.

13. Governing Law and Disputes

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Before filing a claim, you agree to first contact us at our support team and attempt to resolve the dispute informally for at least 30 days.

If informal resolution fails, any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that you may bring claims in small claims court if eligible.

13.3 Class Action Waiver

YOU AND DUVOIRE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also notify you via email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Duvoire LLC regarding the Service.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Notices: We may provide notices to you via email, posting on the Service, or other reasonable means.
